1. Acceptance of Terms
By accessing or using the services provided by Planbok ("we", "us", or "our"), including our website, Multi-Party Computation (MPC) infrastructure, API, and related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Planbok provides a programmable wallet infrastructure based on MPC technology. Our Services enable you to create and manage digital asset wallets where private keys are distributed across multiple parties.
- Non-Custodial Nature: You acknowledge that Planbok is a non-custodial infrastructure provider. While we participate in the signing process as a co-signer, we do not have unilateral access to your funds or the ability to initiate transactions without your authorized approval policy.
- Availability: We strive to maintain high availability of our Services but do not guarantee that the Services will be uninterrupted, secure, or error-free at all times.
3. User Responsibilities
3.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials, API keys, and any other authentication methods used to access the Services. You agree to notify us immediately of any unauthorized use of your account.
3.2 Lawful Use
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to anti-money laundering (AML) and counter-terrorist financing (CTF) laws. You may not use the Services to engage in any illegal activity or to support any illegal activity.
4. Intellectual Property
The Services, including but not limited to our proprietary MPC algorithms, software, text, graphics, and logos, are the property of Planbok and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
5. Disclaimers & Risk Warning
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.
- Blockchain Risks: You acknowledge the inherent risks associated with blockchain technology, including but not limited to network congestion, volatility, and software bugs in the underlying protocols. Planbok is not responsible for losses due to blockchain network failures.
- Key Management: You are solely responsible for the management of your key shares and authentication credentials. Loss of access to your credentials may result in the permanent loss of access to your digital assets.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANBOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.
7. Termination
We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
